About the Role
A well-established banking institution is seeking a highly experienced Company Secretary to provide professional governance advisory and company secretarial support. The successful candidate will support the Boards, Board Committees, Executive Committees, and Management Committees of the company, ensuring compliance and effective corporate governance practices.
Key Responsibilities
- Provide governance advisory services to Boards, Board Committees, Executive Committees, and Management Committees.
- Ensure adherence to corporate governance, legal, and compliance requirements.
- Manage internal controls and risk governance matters.
- Draft, review, and maintain legal and board documentation.
- Conduct research and provide analysis on corporate governance matters.
- Advocate and support the implementation of governance frameworks across the organization.
Minimum Education & Experience
- Qualification: Bachelor of Laws (LLB).
- Experience: 8–10 years in legal governance and compliance, with at least 5 years serving as a Company Secretary in a large organization.
- Proven expertise in corporate governance, risk management, and internal controls.
- Senior professional with managerial experience.
Critical Competencies
- Advanced knowledge of Company Law.
- Expertise in private and public sector corporate governance.
- Financial management understanding.
- Strong research, analytical, and drafting skills.
- Advocacy and stakeholder management capabilities.
