Introduction to Guardrisk
Guardrisk, a key entity within the financial services sector, requires a dedicated and proficient Assistant Company Secretary to support the Company Secretary and ensure the highest standards of corporate governance across the Group.
This role is pivotal in ensuring that all legal entities operate in full compliance with statutory, legal, and governance requirements, while actively contributing to the continuous optimization and improvement of the Company Secretarial function.
Role Purpose
The Assistant Company Secretary will be responsible for providing comprehensive company secretarial services to the Guardrisk Group. A primary focus of the role is to manage the minute-taking and administrative functions for the Group’s operational and management committees.
The incumbent will also be instrumental in assisting the Company Secretary with corporate legal matters and overall governance requirements, including vital communication, training, and internal reporting.
Core Duties & Responsibilities
Committee and Board Administration
- Meeting Management: Draft agendas in consultation with Chairperson/s and manage all correspondence and liaison with operational and management committee members.
- Documentation: Collate and distribute comprehensive information packs for various forums and committees.
- Minute Taking: Attend meetings to take accurate, professional minutes and draft them for final vetting by the Chairperson.
- Resolutions: Assist with the drafting and execution of formal company resolutions.
Statutory Compliance and Record Keeping
- Regulatory Compliance: Ensure all companies adhere to the Companies Act, sound governance principles, and various applicable legislation.
- Records Maintenance: Check, maintain, and update all company secretarial records, both in-house (manual and electronic) and externally with the Companies and Intellectual Property Commission (CIPC).
Governance Support and Development
- Stakeholder Management: Develop and maintain productive, collaborative working relationships with peers, clients, and internal stakeholders.
- Continuous Improvement: Proactively contribute to continuous innovation by developing, sharing, and implementing new ideas within the department.
- Personal & Team Efficiency: Effectively manage time to ensure optimal productivity and continuously develop personal expertise in the field.
Requirements
Experience and Qualifications
- Experience: A minimum of 1 to 3 years’ experience in company secretarial administration is required.
- Knowledge: Sound knowledge and understanding of the insurance, financial services, and corporate governance frameworks is essential.
- Qualification: A CGISA qualification (Chartered Governance Institute of Southern Africa) will be considered a distinct advantage.

- Communication: Excellent verbal and written communication skills are mandatory for drafting formal documents and engaging with senior stakeholders.
